4. Client Obligations

4.2 Content Responsibility

Clients are responsible for ensuring all provided content:

4.3 System Access

For projects requiring system access, clients must:

  • Provide necessary login credentials securely
  • Maintain backup copies of critical data
  • Inform us of any security concerns promptly

5. Payment Terms

5.1 Pricing and Invoicing

  • Project costs are outlined in individual proposals
  • Invoices are issued according to agreed payment schedules
  • Additional work outside the original scope incurs extra charges
  • All prices are in Canadian dollars unless otherwise specified

5.2 Payment Schedule

  • 50% deposit required to commence most projects
  • Remaining balance due upon project completion
  • Monthly retainer services billed in advance
  • Late payments may incur interest charges of 1.5% per month

  • Our proprietary tools, templates, and methodologies remain our property
  • Marketing materials and proposals are protected by copyright
  • Client may not reverse-engineer our proprietary solutions

7. Website Hosting and Maintenance

7.1 Hosting Services

  • Hosting packages include specified storage and bandwidth
  • We reserve the right to suspend accounts for policy violations
  • Clients are responsible for regular content backups
  • Uptime is targeted at 99.9% but not guaranteed

7.2 Domain Registration

  • Domain registration is typically handled on client's behalf
  • Clients retain ownership of their domain names
  • Annual renewal fees are client's responsibility
  • Domain transfer assistance provided upon request

7.3 Website Updates

  • Minor content updates may be included in maintenance packages
  • Major redesigns or functionality changes require separate agreements
  • Security updates and patches applied regularly
  • Performance monitoring and optimization included

8. Digital Marketing Services

8.1 Campaign Performance

  • Results are not guaranteed and depend on various factors
  • We provide regular reporting and optimization recommendations
  • Client cooperation required for optimal campaign performance
  • Third-party platform policies may affect campaign execution

8.2 Advertising Budgets

  • Client maintains control over advertising spend
  • Management fees are separate from advertising costs
  • Budget recommendations provided based on industry standards
  • Campaign adjustments made to optimize performance

8.3 Account Access

  • Clients retain ownership of their advertising accounts
  • We require administrative access for campaign management
  • Account credentials shared securely through approved methods
  • Access permissions transferred upon contract termination

9. Odoo ERP Implementation

9.1 Implementation Process

  • Requirements analysis and system design
  • Custom module development when required
  • Data migration and system integration
  • User training and documentation
  • Go-live support and post-implementation assistance

9.2 Client Data

  • Clients retain full ownership of their business data
  • Data security measures implemented throughout the process
  • Regular backups recommended during implementation
  • Data export capabilities maintained for client independence

9.3 System Customizations

  • Custom developments owned by client upon full payment
  • Standard Odoo modules subject to Odoo's licensing terms
  • Documentation provided for all customizations
  • Support available for implemented solutions

10. Warranties and Disclaimers

10.1 Service Warranty

  • We warrant our services will be performed professionally
  • Work will substantially conform to agreed specifications
  • Defects will be corrected at no additional charge within 30 days
  • Warranty void if client modifies delivered work without authorization

10.2 Disclaimers

  • Services provided "as is" without additional warranties
  • No guarantee of specific business results or outcomes
  • Third-party service performance beyond our control
  • Internet connectivity and browser compatibility not guaranteed

10.3 Force Majeure

We are not liable for delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures of third-party services.

11. Limitation of Liability

11.1 Maximum Liability

Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

11.2 Excluded Damages

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Data loss (clients responsible for backups)
  • Third-party claims or actions

11.3 Client Indemnification

Client agrees to indemnify us against claims arising from:

  • Client's use of our services
  • Violation of these terms by client
  • Third-party claims related to client's business

12. Confidentiality

12.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Financial information and pricing

12.2 Exceptions

Confidentiality obligations do not apply to:

  • Publicly available information
  • Information independently developed
  • Information required to be disclosed by law

13. Termination

13.1 Termination by Client

  • 30-day written notice required for ongoing services
  • Project-based work may be terminated with immediate payment for completed work
  • No refund for work already performed
  • Client responsible for any third-party cancellation fees

13.2 Termination by Noordev

We may terminate services for:

  • Non-payment of invoices
  • Violation of these terms
  • Unlawful use of our services
  • Abusive behavior toward our staff

13.3 Post-Termination Procedures

Upon termination:

  • Final invoice issued for completed work
  • Client access credentials transferred or deactivated
  • Project files archived according to our retention policy
  • Ongoing third-party services cancelled unless otherwise requested

14. Post-Contract Access and Support

14.1 Access Removal

  • All administrative access to client systems removed upon contract completion
  • Login credentials and access rights transferred to client
  • Documentation provided for ongoing management
  • Transition support included for 30 days post-completion

14.2 Future Support Requests

  • Post-contract support requests subject to new service agreements
  • Minimum billing applies for technical assistance
  • Priority support available through retainer agreements
  • Emergency support available at premium rates

14.3 Data and File Access

  • Project files archived for 2 years post-completion
  • File recovery services available for additional fees
  • Source code provided upon request with final payment
  • Third-party licenses remain client's responsibility

15. Communication and Support

15.1 Business Hours

  • Standard support: Monday-Friday, 9 AM - 5 PM EST
  • Emergency support available for critical issues
  • Response times vary based on service level agreement
  • Holiday schedule posted on our website

16. Dispute Resolution

16.3 Class Action Waiver

Client waives right to participate in class action lawsuits against Noordev.

17. General Provisions

17.1 Entire Agreement

These Terms, together with individual service agreements, constitute the complete agreement between parties.

17.2 Modifications

Terms may be updated periodically. Continued use of services constitutes acceptance of modified terms.

17.3 Severability

If any provision is deemed unenforceable, the remainder of these Terms remains in effect.

17.4 Assignment

  • Clients may not assign rights without written consent
  • Noordev may assign rights to affiliated companies
  • Subcontracting permitted for service delivery

17.5 Survival

Provisions regarding payment, intellectual property, confidentiality, and limitation of liability survive termination.
